Terms of Service

These terms govern the use of the Annotrova website and explain the general conditions applicable to business inquiries and services.

Last updated: November 4, 2026

1. Introduction and Acceptance

These Terms of Service ("Terms") govern your use of annotrova.com and the general business interactions you have with Annotrova ("Annotrova", "we", "us" or "our").

By accessing or using this website, you agree to these Terms. If you do not agree, please discontinue use of the website.

These Terms apply to general website usage. Individual client engagements may be governed by separate written agreements, quotations or statements of work. Where a separate written agreement conflicts with these general Terms, the project-specific agreement will take precedence for that engagement.

2. Website Usage

You may use this website for lawful purposes and legitimate business inquiries. You agree not to:

  • Interfere with or disrupt the website, its availability or security.
  • Attempt unauthorized access to our systems, services or data.
  • Submit false, misleading, unlawful or malicious information.
  • Introduce malware, harmful code or activities that compromise the website.
  • Copy, scrape, reproduce or reuse website content without permission, except where permitted by applicable law.

3. Our Services

Annotrova provides AI data operations and data annotation services, including:

  • Image Annotation
  • Video Annotation
  • Text and NLP Annotation
  • Audio Annotation
  • 3D Data Annotation
  • Data Quality Assurance

Information on this website is provided for general reference. The actual services, scope and deliverables for a client will be those agreed in the applicable written project agreement.

4. Business Inquiries and Project Discussions

Submitting an inquiry, requesting a quotation or discussing a potential project does not by itself create a binding service agreement or guarantee that Annotrova will accept the engagement.

A project engagement begins when the relevant parties agree to the applicable written quotation, statement of work or service agreement.

Information submitted through our website is handled in accordance with our Privacy Policy.

5. Project Scope, Deliverables, Timelines and Quality

Project-specific requirements will be agreed in writing. These may include the project scope, annotation guidelines, data formats, deliverables, timelines, quality criteria and review procedures.

We make reasonable efforts to deliver work within agreed timelines and quality standards. Timelines may depend on the timely provision of project data, instructions, feedback and approvals by the client.

Changes to project requirements may require adjustments to the agreed scope, schedule or pricing.

Since annotation work can involve human judgment and interpretation, we do not represent that all deliverables will be entirely error-free. Any corrections or rework will be handled according to the quality assurance and acceptance process agreed for the relevant project.

6. Client Responsibilities

Clients are responsible for:

  • Providing accurate, complete and timely project requirements and instructions.
  • Ensuring they have the legal rights, permissions and authorizations required to share project data with Annotrova.
  • Ensuring that data supplied for a project does not unlawfully infringe the rights of others.
  • Providing necessary access, approvals and feedback within agreed timelines.
  • Informing Annotrova of any specific security, confidentiality or data handling requirements before work begins.

Annotrova is not responsible for delays or issues arising from incomplete, inaccurate, unauthorized or late client inputs.

7. Pricing, Quotations, Invoicing and Payment

Project pricing, deliverables, milestones and payment arrangements will be agreed separately in writing. Quotations are subject to the validity period stated in the relevant quotation.

Unless otherwise agreed in a separate written agreement, invoices issued by Annotrova are payable within 35 calendar days from the invoice date.

Where a separate written agreement or accepted statement of work specifies different payment terms, those project-specific terms will take precedence.

Applicable taxes will be charged in accordance with relevant laws and regulations. Any additional payment conditions will be communicated in the relevant quotation or written agreement.

8. Confidentiality and Client Data

We treat non-public client information and project data as confidential and use it for the purpose of providing the agreed services.

Access to confidential information is limited to individuals who need it for the relevant work. We take reasonable measures to protect such information against unauthorized access, disclosure or misuse.

We may share confidential information with service providers supporting the agreed services where necessary and subject to appropriate confidentiality obligations, or where disclosure is required by law.

Project-specific confidentiality, data security, retention and handling obligations may be further defined in a separate written agreement.

Confidentiality obligations do not apply to information that is publicly available through no breach of these Terms, was lawfully known before disclosure, or was independently developed without using confidential information.

9. Intellectual Property

The Annotrova name, logo, website design, text, graphics and other website materials are owned by or licensed to Annotrova and may not be used without appropriate permission.

Unless otherwise agreed in writing, clients retain ownership of the data and materials they provide to us.

Unless a project-specific written agreement states otherwise, ownership of final project deliverables transfers to the client upon full payment of the applicable fees.

Annotrova retains ownership of its pre-existing tools, methods, processes, templates, technical know-how and general expertise. We may use general skills and knowledge gained through our work provided that doing so does not disclose client confidential information or violate an applicable agreement.

10. Third-Party Tools and Service Providers

We may use third-party platforms and services to operate our website, process inquiries, host content and support project delivery.

Third-party services may be subject to their own terms, conditions and privacy policies. We are not responsible for independent services or systems operated by third parties.

Where a client requires the use of a specific third-party platform or software for a project, access, licensing and related responsibilities will be agreed between the parties.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Annotrova will not be liable for indirect, incidental, special or consequential losses, including loss of profits, revenue, business opportunities or data arising from the use of this website or our services.

Unless otherwise agreed in a separate written agreement, our total liability for claims relating to a specific service engagement will not exceed the fees paid to Annotrova for the services giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.

12. Disclaimer of Warranties

This website is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted availability, error-free operation or that the website will always be free from harmful components.

Website content is provided for general informational purposes and should not be treated as professional, technical or legal advice.

We do not guarantee the performance or results of any AI or machine learning model trained, evaluated or supported using our deliverables, as such outcomes may depend on factors outside our control.

13. Suspension and Termination

We may suspend or restrict access to the website where necessary to protect its security, comply with applicable law or address misuse.

Service engagements may be suspended or terminated in accordance with the applicable written agreement, including in cases of material breach or overdue payment.

Upon termination of a project, payment obligations for work already performed and applicable confidentiality obligations will continue in accordance with the relevant agreement.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of India.

The parties will make reasonable efforts to resolve disputes through good-faith discussions. Where a dispute cannot be resolved amicably, it will be subject to the jurisdiction of the competent courts in India, in accordance with applicable law.

Any separate written agreement may specify additional dispute resolution procedures for the relevant engagement.

15. Changes to These Terms

We may revise these Terms from time to time to reflect changes in our website, services or applicable legal requirements.

The updated date displayed at the top of this page indicates when these Terms were most recently revised.

Updated website Terms apply to subsequent use of the website. They do not automatically replace project-specific terms already agreed in a separate written agreement.
